Dentsu Announces Dissolution of Subsidiary iSe International Sports and Entertainment AG

Dentsu Inc. (President and CEO: Tateo Mataki; Head Office: Tokyo; Capital: 58,967.1 million yen) announced today that Dentsu and Publicis Groupe S.A. (Chairman and CEO: Maurice Lévy; Head Office: France; Capital: 79,470,655.60 euros), at meetings of their Boards of Directors, adopted resolutions for the dissolution of iSe International Sports and Entertainment AG (“iSe”), a consolidated subsidiary of Dentsu and a sports marketing joint-venture between the two companies.

Background of Dissolution

iSe was established in March, 2003, as an international sports marketing company and has been principally engaged in sales and management of the official Hospitality Programme for the 2006 FIFA World CupTM. With the completion of the 2006 FIFA World CupTM in July of last year, dissolution of the company will take place, and its three subsidiaries, iSe-Hospitality AG (Switzerland), iSe-Hospitality Production GmbH (Germany) and iSe-Hospitality Sales GmbH (Germany) are in the process of liquidation. The dissolution of this joint venture between the two companies will not adversely affect their relationship, and Dentsu plans to explore further cooperation with Publicis Groupe in the future.

Timing of Dissolution

The dissolution is scheduled to be resolved at an extraordinary general meeting of shareholders of iSe tentatively planned for February 5, 2007, and following such resolution of dissolution, all procedures related thereto are scheduled to be completed within 2007.

The impact of the dissolution on Dentsu’s consolidated and non-consolidated financial results for the fiscal year ending March 31, 2007, is expected to be minimal, and any impact on Dentsu’s financial results for the fiscal year ending March 31, 2008, is uncertain.
